1. Agreement

These Terms & Conditions ("Terms") form a binding agreement between Klearskill ("Klearskill", "we", "us") and the person or organisation that signs up for the service ("you", "customer"). By creating an account, using the service, or clicking to accept these Terms, you agree to be bound by them.

2. The service

Klearskill provides an AI-powered CV screening and recruitment platform via the website at klearskill.com and the application at app.klearskill.com. Features include job creation, hosted application links, AI scoring of applicants, a candidate pipeline, and automated candidate emails. Feature availability may vary by plan.

3. Account and access

You are responsible for keeping your account credentials secure and for all activity that occurs under your account. Notify us immediately at security@klearskill.com if you suspect unauthorised access.

4. Subscription and billing

Klearskill is offered on two plans: a Starter plan at $10 per month where you connect your own AI provider account (OpenAI, Anthropic, Gemini or OpenRouter) and pay for AI use directly with that provider, and a Pro plan at $50 per month with AI included and a fair-use limit of 10,000 CVs screened by AI per month. Prices are in US dollars and exclude applicable taxes. Subscription plans renew automatically each billing period unless cancelled before renewal.

We may adjust prices with 30 days' notice. Continued use of the service after a price change constitutes acceptance of the new price.

5. Free trial

New customers receive a free trial that includes one job and 25 CV credits. No payment details are required to start a trial. Trials are for evaluation purposes and are subject to fair use.

6. Refunds and cancellation

You may cancel your subscription at any time from the billing settings inside the app. Cancellation takes effect at the end of the current billing period. We do not provide refunds for partial billing periods except where required by law.

7. Acceptable use

You agree not to:

• Use the service to screen candidates on unlawful grounds or in a discriminatory manner.
• Upload or process personal data without a lawful basis.
• Reverse engineer, scrape, or attempt to derive the source code of the service.
• Interfere with the security, integrity, or performance of the service.
• Send spam, malicious code, or unsolicited communications through the platform.
• Use the service to compete against Klearskill or build a similar product.

8. Customer data and privacy

You retain all rights in the personal data you upload to or process through Klearskill ("Customer Data"). You grant us a limited licence to process Customer Data for the purpose of providing the service. Our processing of Customer Data is governed by our Privacy Policy and our Data Processing Addendum.

You are the data controller for Customer Data and are responsible for having a valid lawful basis to process it, giving the required notices to data subjects, and honouring their rights under applicable law.

9. Automated decisions

Klearskill's AI produces scores, summaries, and shortlists as an input to your hiring decisions. It is not intended to make final hiring decisions on its own. You are responsible for ensuring meaningful human review of every candidate before progressing or rejecting them, as required by Article 22 UK/EU GDPR.

10. Intellectual property

Klearskill owns the platform, the underlying software, models, documentation, trademarks, and all improvements. Nothing in these Terms transfers ownership of the platform to you. You may not remove or obscure our copyright or trademark notices.

11. Availability and support

We work to keep the service available with reasonable care but do not guarantee uninterrupted or error-free operation. Planned maintenance is communicated in advance where practical. Support is provided via email and the in-app help channel during business hours.

12. Warranties and disclaimer

The service is provided "as is" and "as available". To the fullest extent permitted by law, we disclaim all warranties (express, implied, or statutory), including any implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that AI scoring will always be accurate or that the shortlist will contain the best candidate for a role.

13. Limitation of liability

To the fullest extent permitted by law, our aggregate liability for any claim arising out of or relating to these Terms or the service is limited to the fees you paid to Klearskill in the twelve months preceding the event giving rise to the claim. Neither party is liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, business opportunity, goodwill, or data.

Nothing in these Terms excludes liability that cannot lawfully be excluded, such as liability for death or personal injury caused by negligence, fraud, or fraudulent misrepresentation.

14. Termination

Either party may terminate for material breach if the breach is not remedied within 30 days of written notice. We may suspend or terminate immediately if you use the service in a way that risks harm to us, our other customers, or third parties. On termination, your access to the service ends and Customer Data may be deleted after a reasonable grace period.

15. Changes to the service and Terms

We may improve or modify the service, and update these Terms, from time to time. Material changes will be posted here and, for significant impact, notified to account holders by email.

16. Governing law and venue

These Terms are governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction over any dispute arising out of or in connection with these Terms, save that we may bring proceedings in the courts of your jurisdiction to enforce our intellectual property rights.
